Knight & Co Digital is a trading name of Knight & Co Group Limited, a company registered in England.

1. Services

Knight & Co Digital provides website development, custom software, AI integration, and automation services. The scope, deliverables, timeline, and pricing for any project are agreed in writing before work begins via a formal proposal.

2. Quotations & Payment

• All project pricing is provided on a fixed-price basis following a discovery conversation.
• Prices quoted exclude VAT unless otherwise stated.
• A deposit is required before work commences, with the balance due upon completion or as agreed in the project proposal.
• Maintenance packages are billed monthly in advance.
• Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

3. Intellectual Property

Upon full payment, all intellectual property rights in bespoke work created for you are assigned to you, unless otherwise agreed. We retain the right to use general techniques, knowledge, and non-confidential elements in future work. We may reference the project in our portfolio unless you request otherwise.

4. Client Responsibilities

You agree to:

• Provide necessary content, assets, and feedback in a timely manner
• Ensure any materials you supply do not infringe third-party rights
• Review and approve work at agreed milestones
• Maintain the security of any portal or account credentials

5. Project Delivery

We will make reasonable efforts to deliver projects within agreed timelines. Delays caused by late client feedback, scope changes, or circumstances beyond our control may extend the timeline. Significant scope changes will be discussed and agreed before additional work proceeds.

6. Warranties & Liability

We warrant that all work will be performed with reasonable skill and care. We will rectify any defects reported within 30 days of delivery at no additional cost.

To the fullest extent permitted by law, our total liability for any claim arising from our services shall not exceed the total fees paid for the specific project in question. We are not liable for indirect, incidental, or consequential damages including loss of profit, data, or business opportunity.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any agreement.

8. Termination

Either party may terminate a project with written notice. In such cases, payment is due for all work completed up to the point of termination. Any deposit paid is non-refundable once work has commenced.

9. Website Use

You may use this website for lawful purposes only. You must not:

• Use the site in any way that is unlawful or fraudulent
• Attempt to gain unauthorised access to any part of the site
• Transmit any malicious code or content
• Use automated tools to scrape or extract content without permission

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our website or services constitutes acceptance of the revised terms.
